You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY. 2. ELIGIBILITY
You must provide accurate information when creating an account.
You may not use Audrop if you are prohibited from doing so under applicable law.
If Audrop establishes a minimum age requirement for the Service, you must meet that requirement.
You are responsible for ensuring that your use of Audrop complies with applicable laws.
3. YOUR ACCOUNT
You are responsible for:

4. USER CONTENT
Audrop allows users to create and upload content ("User Content"), including audio recordings, comments, profile information, images, messages, descriptions, and other materials.
You retain ownership of your User Content, subject to the rights granted to Audrop under these Terms.
By submitting User Content to Audrop, you grant Audrop a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, process, modify as technically necessary, distribute, publicly display, publicly perform, transmit, and otherwise use your User Content as reasonably necessary to operate, provide, improve, promote, and maintain the Service.
This license exists only for the purposes described above and does not transfer ownership of your User Content to Audrop.
5. YOUR RESPONSIBILITY FOR CONTENT
You are solely responsible for your User Content.
You represent and warrant that:

You have permission to use any music, recordings, voices, performances, images, trademarks, or other material contained in your content.

Do not upload content simply because you found it online.
6. PROHIBITED CONTENT
You may not use Audrop to upload, publish, transmit, or distribute content that:

Violates another person's privacy or publicity rights

Contains non-consensual intimate imagery

9. DIRECT MESSAGES
If Audrop provides direct messaging, users are responsible for their communications.
You may not use messaging features to:

10. AI, TRANSCRIPTS, AND AUTOMATED SYSTEMS
Audrop may use artificial intelligence or automated systems to process User Content.
These systems may:

No particular amount of reach, engagement, followers, listens, or visibility is guaranteed.
12. DRIVE SAFE MODE
Audrop may provide a feature called Drive Safe Mode designed to reduce visual interaction with the Service while a user is engaged in activities such as driving.
Drive Safe Mode is not a safety device, autonomous-driving system, or substitute for responsible driving.
You remain responsible for complying with traffic laws and maintaining appropriate attention to the road and surrounding environment.
Do not interact with your device while driving.
If using Audrop while driving would distract you, stop using Audrop until you are safely parked.
Audrop does not guarantee that Drive Safe Mode will prevent distraction, accidents, injuries, or property damage.
13. AUDROP'S INTELLECTUAL PROPERTY
The Audrop Service, excluding User Content, may contain:

These materials are owned by or licensed to Audrop and are protected by applicable intellectual-property laws.
You may not copy, modify, distribute, sell, reverse engineer, reproduce, or create derivative works from the Service except as permitted by law or with our written permission.
14. FEEDBACK
If you provide suggestions, ideas, feedback, or recommendations about Audrop, you grant Audrop the right to use that feedback without restriction or compensation to you.
This does not transfer ownership of your independent User Content.

Audrop may rely on third-party services, including:

Public content may also have been copied or shared by other users before deletion.
19. DISCLAIMERS
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
AUDROP DOES NOT GUARANTEE THAT:

THE SERVICE WILL ALWAYS BE AVAILABLE;

CONTENT WILL ALWAYS BE ACCURATE;

TRANSCRIPTS WILL ALWAYS BE ACCURATE;

RECOMMENDATIONS WILL ALWAYS BE RELEVANT;

CONTENT WILL NEVER BE LOST;

THE SERVICE WILL ALWAYS BE SECURE; OR

THE SERVICE WILL MEET EVERY USER'S EXPECTATIONS.
YOU USE AUDROP AT YOUR OWN RISK.
20. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUDROP AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDROP'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL BE LIMITED TO THE GREATER OF:

THE AMOUNT YOU PAID AUDROP FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

Nothing in these Terms limits liability that cannot legally be limited.
21. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Audrop and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, and expenses arising from:

22. DISPUTE RESOLUTION
Before initiating formal legal proceedings, you agree to contact Audrop and provide a reasonable opportunity to resolve the dispute informally.
Nothing in this section prevents either party from seeking emergency equitable relief where legally permitted.
23. GOVERNING LAW
These Terms will be governed by the laws of the State of [STATE], without regard to conflict-of-law principles, except where applicable law requires otherwise.
24. CHANGES TO THESE TERMS
